1. Agreement to Terms

By accessing and using the services of Biz Scale Digital Marketing Agency (“Company,” “we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use our services.

2. Services Provided

Biz Scale Digital Marketing Agency provides digital marketing services including but not limited to:

• Social media marketing and management
• Web design and development
• Sales funnel building and optimization
• Lead generation services
• Paid advertising management (Google Ads, Facebook Ads, etc.)
• Content creation and marketing
• SEO and digital marketing consulting

3. Service Agreements

• All services are provided under separate Service Agreements that outline specific deliverables, timelines, and pricing
• Service Agreements must be signed by both parties before work begins
• Any changes to agreed services must be documented in writing
• Pricing is subject to change with 30 days written notice

4. Payment Terms

• Payment schedules are outlined in individual Service Agreements
• Monthly services require payment in advance
• Project-based services may require 50% deposit before work begins
• Late payments may result in suspension of services
• Refund policies are detailed in individual Service Agreements

5. Client Responsibilities

Clients agree to:

• Provide accurate information and access to necessary accounts
• Respond to requests for information within reasonable timeframes
• Review and approve deliverables within specified timeframes
• Maintain backup copies of all website content and data
• Comply with all applicable laws and platform policies

6. Intellectual Property

• Client retains ownership of their pre-existing intellectual property
• Company retains ownership of proprietary methods, processes, and templates
• Upon full payment, Client receives license to use deliverables for their business
• Company may use anonymized case studies for marketing purposes

7. Confidentiality

Both parties agree to:

• Keep confidential information private and secure
• Not disclose sensitive business information to third parties
• Use confidential information only for the purpose of providing/receiving services
• Return or destroy confidential information upon request

8. Limitation of Liability

• Company’s liability is limited to the amount paid for services in the preceding 12 months
• Company is not liable for indirect, incidental, or consequential damages
• Company is not responsible for third-party platform changes or policies
• Client is responsible for backing up all data and content

9. Service Guarantees

• Specific performance guarantees are outlined in individual Service Agreements
• Guarantees do not apply if Client fails to meet their responsibilities
• Guarantee remedies are limited to additional work or service credits
• No guarantee can be made regarding third-party platform performance

10. Termination

• Either party may terminate services with 30 days written notice
• Immediate termination may occur for breach of contract or non-payment
• Upon termination, Client receives work completed to date
• Final invoices are due within 30 days of termination

11. Dispute Resolution

• Disputes will be resolved through binding arbitration in Orlando, Florida
• Florida law governs these Terms and any disputes
• Each party is responsible for their own legal costs unless otherwise awarded

12. Force Majeure

Company is not liable for delays or failures due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, or technology failures.

13. Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website and communicated to active clients.
